The February 2018 Credit Karma Member Stories Contest (the “Contest”) is intended for viewing and participation in the 50 United States and District of Columbia (the “Contest Area”). Do not attempt to participate in the Contest if you are not a resident of and located within the Contest Area at the time of participation. The Contest is sponsored by Credit Karma, Inc. (“Sponsor”). Contest begins on or about 9:00 AM Pacific Time (“PT”), on January 31, 2018, and ends at 11:59 PM PT, on February 4, 2018 (“Contest Period”). Sponsor’s time clock will be the official clock of the Contest.

ELIGIBILITY: The Contest is open to legal residents of the Contest Area, who are 18 years of age or older or the age of majority under applicable law in their state of residence, whichever is older, as of the beginning of the Contest Period. You may not participate in this Contest if you are a professional actor or if you are a member of any union or guild that would entitle you to compensation for appearing in any advertising for Sponsor. For purposes of this Contest, a professional actor is defined as any individual who makes more than 10% of his or her annual income from acting in any of the past three calendar years. Sponsor, and employees, officers, and directors of Sponsor, and of its parents, affiliates, and subsidiaries and of any other companies associated with the design or execution of this Contest (collectively, the “Contest Entities”), and the members of each of those individuals’ immediate households and families, whether or not related to any of the above, are ineligible to participate or win. For purposes of this Contest, “immediate families” means parents (including in-laws), grandparents, siblings, children, grandchildren and each of their respective spouses, regardless of where they reside.

HOW TO ENTER: During the Contest Period, create a video (two minutes or less) of yourself describing what your financial goals are for 2018 and how you plan to use Credit Karma to help achieve those goals (the “Video”). To complete your entry, visit https://goo.gl/forms/BRLFPW25nldy0WmQ2, accurately complete the online form, and submit the Video. Sponsor is not responsible for Internet connections, unavailability of servers or any other technical malfunctions that may interfere with a Contestant’s ability to enter. Limit one entry per person and per email address; subsequent entries from the same person or email address will be disqualified, if discovered by Sponsor. Each individual who successfully enters will be deemed a “Contestant.” Entry information (but not the Videos themselves) will become the property of the Sponsor. If there is a dispute over who submitted an entry via social media, the entry will be deemed to have been submitted by the authorized account holder of the social media account used to enter. The authorized account holder of a social media account is deemed to be the natural person who is assigned to the social media account by the social media provider. If there is a dispute over who submitted an entry via direct submission, the entry will be deemed to have been submitted by the authorized account holder of the email account used to enter. The authorized account holder of an email account is deemed to be the natural person who is assigned to an email address by an Internet access provider, service provider, or online organization responsible for assigning email addresses for the domain associated with the submitted email address.

OTHER CONDITIONS OF ENTRY: The Video must not depict any recognizable individual other than the Contestant, and the Video must not contain any music. By entering, each Contestant represents and warrants that no laws were broken in the creation of the Video and that the Video is his/her own original creation; the Contestant owns or otherwise has all rights necessary to submit the Video; the Video has not been copied in whole or in part from any other work; the Video has not been previously published; the Video does not violate or infringe the rights of any person or entity (including but not limited to privacy rights, trademarks, and copyrights); the Video does not defame, libel, or slander anyone or any entity; the Video does not contain inappropriate, racist, offensive, indecent, vulgar, obscene or profane content; and the Video is in compliance with the Terms of Service on the Contest website. Without limiting the foregoing, the Video may not show illegal or dangerous activity or nudity or contain any content that, in the sole discretion of Sponsor, is detrimental to Sponsor’s brand. The Video must be appropriate for display on a general interest website. Entries that do not comply with these Official Rules or the foregoing representations and warranties will be disqualified. Each Contestant agrees to indemnify, defend and hold Sponsor, its parents, affiliates, and subsidiaries and all of their employees, officers, and directors harmless against any and all liabilities, losses, damages, claims, debts, investigations, fines, penalties, costs, expenses and settlements (including attorneys’ fees and costs of litigation, settlement, judgment, interest and penalties) arising out of or related to a breach or alleged breach of the foregoing representations and warranties. By entering, each Contestant grants to Sponsor a non-exclusive, unrestricted, perpetual, irrevocable, transferable, sub-licenseable, royalty-free license to publish, host, store, transfer, distribute, modify, create derivative and collective works from, reproduce, display, perform, transmit, process, or otherwise use, in any manner and for any purpose, and in all forms or distribution methods now known or later developed, the Video, in whole or in part, to provide, optimize, improve, and promote or market Sponsor’s Services (as that term is defined in the Terms of Service on Credit Karma’s website), and to create new products and services. This license also includes the right to publish Contestant’s Video in a searchable format that may be accessed by other users of Sponsor’s Services. Contestants otherwise will retain all rights to their respective Videos. If Sponsor determines, in its sole discretion and at any time during the Contest, that any Video violates these requirements, is otherwise unsuitable, offensive, or in poor taste, or violates these Official Rules, Sponsor reserves the right to remove and disqualify the Video. Sponsor retains sole discretion as to whether any Video satisfies these requirements and the Official Rules.

HOW TO WIN: Winner will be selected by a panel of judges designated by Sponsor who will judge the Videos based on adherence to the Contest theme (50%), comprehensiveness of response to Contest question (20%), aesthetic quality of Video (15%), and sound quality on the Video (15%). If there is a tie for first, the judges will re-judge the tied entries to determine the winner.

WINNER NOTIFICATION AND VERIFICATION: Sponsor will attempt to notify the potential winner on or about February 5, 2018 by email. Winner must respond to initial notification attempt within 72 hours. Sponsor is not responsible for lost, delayed, misdirected or returned prize notifications. Awarding of prize is subject to verification of eligibility and compliance with these Official Rules. Potential prize winner may be asked to complete, sign and return the Affidavit of Eligibility, Waiver of Liability and Publicity Release Forms (TN residents need not sign Publicity Release) and, if so, do so within 48 hours of the time Sponsor sends such documents to winner. By signing and returning an Affidavit of Eligibility, Waiver of Liability and Publicity Release, winner agrees to be subject to a personal background check. If the potential winner is not in compliance with these Official Rules, if the potential winner does not respond within 72 hours of first notification attempt, if prize notification or attempted notification is returned as undeliverable, if the potential winner is deemed ineligible for any reason, if the potential winner fails to sign and return required documents and provide required identification by the deadlines established by Sponsor, or if a potential winner declines prize offered, the prize will be forfeited and may be awarded, time permitting, to the Contestant with the next highest score from the judges.

ONE GRAND PRIZE: The grand prize is a $250 Amazon.com Gift Card. Gift card subject to terms and conditions thereon. Prize is nontransferable, except at Sponsor’s sole discretion. Prize details and availability are subject to change, in which case Sponsor may substitute a prize of equal or greater value. No substitutions or cash redemptions, except at Sponsor’s sole discretion. Properly claimed prize will be awarded provided a sufficient number of eligible entries are received, but in no event will Sponsor award more prizes than are provided for in these Official Rules. Prize will be sent to winner by email. Sponsor not responsible for loss, delay, or damage in delivery.

CONDITIONS: All federal, state and local taxes are the sole responsibility of winner. Sponsor reserves the right to modify the Official Rules at any time, provided that any changes to the Official Rules will be reasonably made with the intention of not materially affecting the terms and conditions of the Contest or adversely affecting any Contestant’s rights under the Official Rules. Each Contestant grants Sponsor a royalty-free worldwide right and license to use and publish his/her name, likeness or identity, including, but not limited to, first name, last name, persona, user name, likeness, city/town and state of residence, except where prohibited by law, without compensation. Sponsor is not responsible for any typographical or other errors in the printing, the offering, the announcement of prize, or in the administration of the Contest. Sponsor reserves the right, in its sole discretion to modify, terminate or suspend this Contest should viruses, bugs, technical errors/problems, unauthorized human intervention or other similar causes corrupt or impair the administration, security or fairness of the Contest (“Disruption”). If the Contest is subject to Disruption, Sponsor will award the prize by applying the criteria set forth above to all eligible, non-suspect entries received as of the termination time. Notice of Sponsor action in connection with Disruption will be posted on the Contest website. Contest Entities are not responsible for interrupted or unavailable network, server or other connections, miscommunications, failed telephone, computer hardware, software and other technical failures of any kind, including injury or damage to any person’s mobile device or computer relating to or resulting from participating in or experiencing any materials in connection with the Contest. Contest Entities are not responsible for any disruption or unavailability of the Contest website or jumbled, scrambled or misdirected transmissions, traffic congestion on the internet or at any website, any other technical problems related to Contest website, or human error that may occur in the processing of the Contest, nor are they responsible for any error, omission, interruption, deletion, defect, communications line failure, theft or destruction of, unauthorized access to, delay in operation, transmission, or distribution of, or alteration of, entries, whether caused by the Contestant or otherwise, any of the equipment or programming associated with or utilized in this Contest, or otherwise.

DISQUALIFICATION: The use of robotic, automatic, macro, programmed or like methods in connection with entry or participation in the Contest (including without limitation the use of any Contest/game subscription, notification, entry or like sites or service that offers Contest entry services “on behalf of” Contestant) is strictly prohibited and any Contestant using or suspected of using such methods may be disqualified if discovered by Sponsor. Persons found tampering with, hacking, illegally registering for, or abusing any aspect of the Contest, including any unsportsmanlike behavior, may be disqualified if discovered by Sponsor. Contestants further acknowledge that the forfeiture of prize and/or return of prize will in no way prevent Sponsor from pursuing any remedies legally available in connection with such conduct. Any violation set out in this paragraph or other attempt to damage any website of Sponsor, or tamper with or undermine the legitimate operation of the Contest, is a violation of these Official Rules. If a dispute arises regarding compliance with these Official Rules, Sponsor may consider, in its sole discretion, data reasonably available to Promoter through information technology systems in Sponsor’s control, but Sponsor will not be obligated to consider any data or other information collected from any other source. Neither the failure of Sponsor to insist upon or enforce strict performance of any provision of these Official Rules nor the failure, delay or omission by Sponsor in exercising any right with respect to any term of these Official Rules, will be construed as a waiver or relinquishment to any extent of Sponsor’s right to assert or rely upon any such provision or right in that or any other instance. If there is a conflict between any term of these Official Rules and any marketing or entry materials used in connection with the Contest, the terms of the Official Rules will govern.

RELEASE: By registering for and participating in the Contest, each Contestant: (a) agrees to comply with these Official Rules and the decisions of Sponsor and judges, which will be binding and final in all respects; (b) agrees to comply with the terms and conditions of Sponsor’s Services; (c) agrees to release, discharge, indemnify and hold harmless the Contest Entities and all of their employees, officers, directors, and agents from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons (including death) and property that may be sustained in connection with participation in the Contest and the receipt, ownership, possession, acceptance, enjoyment, use or misuse of the prize, or while preparing for, participating in, and/or traveling to any prize-related activity; and (d) agrees that he/she acknowledges that Sponsor does not make any warranty, representation, or guarantee, expressed or implied, in fact or in law, relative to prize, and disclaim all liability for the provision, quality or nature of any third-party products or services provided to winner.

IN CASE OF DISPUTE: Except where prohibited, each Contestant agrees that: (a) all issues and questions concerning these Official Rules will be governed by California law without giving effect to any principles of conflicts of law of any jurisdiction; (b) any and all disputes, claims and causes of action at law or in equity arising out of or relating to this Contest or prize awarded will be (A) resolved individually, without resort to any form of class action; and (B) filed only in the federal and state courts situated in San Francisco, California, and each Contestant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such disputes, claims or causes of action; (c) any and all claims, judgments and awards will be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (d) under no circumstances will any Contestant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental, special, consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
